1. Acceptance of Terms
By accessing or using DistroTeam ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms apply to all users, including distributors, administrators, and visitors.
2. Description of Service
DistroTeam provides a platform that enables independent distributors to create and manage professional landing pages, capture leads, and grow their distribution networks. Features include site customization, lead management, team replication tools, and AI-assisted content generation.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Acceptable Use
You agree not to use the Service to: (a) violate any applicable law or regulation; (b) transmit spam or unsolicited communications; (c) impersonate any person or entity; (d) upload malicious code; (e) scrape or harvest data without authorization; (f) engage in any activity that interferes with or disrupts the Service.
5. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of DistroTeam and its licensors. You retain ownership of content you create using the Service. By using the Service, you grant DistroTeam a limited license to host and display your content solely for the purpose of providing the Service.
6. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We collect and process data as described in the Privacy Policy in accordance with applicable data protection laws.
7. Lead Data
As a distributor, you are responsible for obtaining appropriate consent from individuals whose data you collect through your DistroTeam landing pages. You must comply with all applicable privacy laws, including the CAN-SPAM Act, CCPA, and GDPR where applicable. DistroTeam processes lead data solely on your behalf as a data processor.
8. Payment and Billing
Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law. We reserve the right to modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.
9. Termination
We may terminate or suspend your account immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Service ceases immediately. You may export your data for 30 days following termination.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTROTEAM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
12. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Texas.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes via email or a prominent notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.
