Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and JKMK Ventures LLC("DistroTeam," "we," "us," or "our") governing your access to and use of the DistroTeam platform, websites, applications, AI agents, and related services (collectively, the "Service").

By creating an account, accepting these Terms in the registration flow, or otherwise accessing or using the Service, you agree to be bound by these Terms and by our Privacy Policy and Content Disclaimer, which are incorporated here by reference. If you do not agree, you may not use the Service. If you accept on behalf of an organization, you represent that you have authority to bind that organization. You must be at least 18 years old to use the Service.

DistroTeam is a software platform for independent distributors and direct-sales professionals. It enables you to build branded landing pages, capture and manage leads, run team-replication and communication tools, and generate marketing content with the assistance of AI agents. The Service is a tool. It is not a business opportunity, an income opportunity, a multi-level-marketing company, or a provider of legal, financial, tax, medical, or other professional advice.

We may add, change, suspend, or discontinue features at any time. Beta or experimental features may be offered "as is" and may change or be removed without notice.

You must provide accurate and complete information when you register and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at support@distroteam.com of any unauthorized use. We are not liable for losses arising from your failure to secure your account.

"Your Content" means everything you create, upload, enter, configure, or publish through the Service — including site copy, images, product and company information, claims, testimonials, lead-facing messages, and any content you generate with our AI agents and then choose to use.

You are solely responsible for Your Content and for every claim you make. You alone determine what to publish, send, or rely on. You represent and warrant that Your Content, and your use of it, complies with all applicable laws, regulations, and guidelines, including but not limited to:

• the FTC Actand the FTC's endorsement, testimonial, "Business Opportunity," and earnings-claim guidance (truthful, substantiated, non-deceptive advertising; clear disclosure of material connections);
• FDA and FTC rules governing health, dietary-supplement, cosmetic, and wellness claims (no claims that a product diagnoses, treats, cures, or prevents disease unless lawfully substantiated);
• the CAN-SPAM Act, TCPA, and equivalent laws governing email, SMS, and telephone outreach (consent, opt-out, identification, and timing requirements);
• applicable privacy laws (e.g., CCPA/CPRA, GDPR) for any personal data you collect from your leads or contacts; and
• any contracts, policies, or codes of conduct you have with the companies or brands whose products you promote.

You retain ownership of Your Content. You grant DistroTeam a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display Your Content solely to operate and provide the Service to you (including routing content to AI subprocessors as described in the Privacy Policy). This license ends when you delete the content or close your account, except for residual backups and as required by law.

The Service includes AI agents that generate draft text and images. AI output is a starting draft, not a finished or verified deliverable. AI output may be inaccurate, incomplete, outdated, non-compliant, or unsuitable for your purpose. You must review, edit, fact-check, and ensure the legality and compliance of any AI-assisted content before you publish or send it. By using it, you adopt that content as Your Content and assume full responsibility for it.

The Service may surface non-blocking compliance warnings on generated content (for example, flagging language that could read as an unsubstantiated health or income claim) and may attach standard disclaimers. These warnings and disclaimers are informational aids only. They do not constitute legal review, do not guarantee compliance, and their absence does not mean content is compliant. The Service permits you to reference, promote, and market the companies, products, and brands you are independently affiliated with. Any company, product, or brand name you include is your own affiliation, chosen and added by you. Such names are not endorsed by, sponsored by, affiliated with, or licensed by DistroTeam, and their inclusion does not imply any partnership between DistroTeam and the named company.

You represent and warrant that you have the right to use any third-party names, logos, trademarks, product information, and marketing materials you upload or reference, and that your use complies with the policies and agreements of the relevant company. You are solely responsible for any dispute with, or claim by, a company or brand arising from your use of its name or materials. DistroTeam is an independent software platform and is not affiliated with any direct-sales or network-marketing company.

You agree not to use the Service to:

• violate any law, regulation, or third-party right;
• send spam or unsolicited communications, or message individuals without the consent required by CAN-SPAM, the TCPA, or applicable law;
• make false, deceptive, unsubstantiated, or misleading claims, including health, medical, or income/earnings claims;
• impersonate any person or entity or misrepresent your affiliation;
• upload malware or attempt to disrupt, probe, or circumvent the Service's security;
• scrape, harvest, or collect data from the Service or other users without authorization;
• use the Service to harass, defame, or harm others, or to publish unlawful, infringing, or obscene content; or
• resell, sublicense, or provide the Service to third parties except as expressly permitted.

We may investigate suspected violations and may remove content, suspend features, or terminate accounts as described below.

When you collect information from individuals through your DistroTeam pages or forms, you are the data controller and DistroTeam is a data processor acting on your behalf. You are responsible for providing your own privacy notice, obtaining any required consent, honoring opt-outs, and complying with all applicable privacy and anti-spam laws. You are responsible for the content, timing, frequency, and consent basis of every email, SMS, or other message you send through the Service.

Elite and Empire plans include premium tools, including Automations (powered by self-hosted Activepieces). When you connect a third-party service (e.g., Slack, Salesforce, Mailchimp, HubSpot, Notion) inside your workspace:

• you authorize us to provision and operate a private workspace on your behalf, isolated from other users at the platform layer;
• connectors send data from your DistroTeam account to those services only when you configure them, and you are responsible for the third party's terms and any fees it charges;
• our AI agent (Rex) can list, create, edit, start, and stop your flows on your request, and never reads or transmits the credentials you store in connectors; and
• if your subscription drops below Elite, your Automations workspace is paused (not deleted); after 12 months paused we may notify you and delete it if not resumed.

DistroTeam is not liable for outcomes caused by flows you build, including message volume that violates the TCPA, CAN-SPAM, or GDPR, downstream service outages, or third-party rate limits.

Paid plans are billed in advance on a recurring (monthly or annual) basis through our payment processor. Free trials, where offered, may require a payment method and convert to a paid subscription unless cancelled before the trial ends. Fees are non-refundable except where required by law. We may change pricing on at least 30 days' notice; continued use after a change takes effect constitutes acceptance. You authorize us to charge your payment method for all applicable fees and taxes.

The Service, including its software, templates, design, branding, and original content (excluding Your Content), is owned by DistroTeam and its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service for its intended purpose. You may not copy, modify, reverse-engineer, or create derivative works of the Service except as permitted by law. "DistroTeam" and our logos are our marks; all other marks are the property of their respective owners.

We respond to notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA). If you believe content on the Service infringes your copyright, send a written notice to our designated agent at legal@distroteam.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is unauthorized; and (f) a statement, under penalty of perjury, that the notice is accurate and you are authorized to act. We may remove infringing material and terminate repeat infringers. A counter-notice may be submitted to the same address.

You agree to defend, indemnify, and hold harmless DistroTeam, JKMK Ventures LLC, and their officers, directors, employees, and agents from and against any claims, demands, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Your Content and any claims you make; (b) your use of the Service; (c) your violation of these Terms or any law or third-party right (including FTC, FDA, CAN-SPAM, TCPA, privacy, or intellectual- property rights); (d) your relationships and affiliations with the companies or brands you promote; and (e) your communications with leads, customers, or recruits. This obligation survives termination of your account.

THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY THAT CONTENT IS LAWFUL, COMPLIANT, OR ERROR-FREE. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS, OR THAT ANY AI OUTPUT IS ACCURATE OR SUITABLE FOR YOUR PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DISTROTEAM AND JKMK VENTURES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

You may stop using the Service and close your account at any time. We may suspend or terminate your access immediately, with or without notice, if you breach these Terms, create legal or security risk, or for any lawful reason. On termination, your license to use the Service ends. You may export Your Content for 30 days following termination, after which we may delete it. Sections that by their nature should survive (including Sections 4–6 and 11–18) survive termination.

These Terms are governed by the laws of the State of [GOVERNING-LAW STATE — placeholder; confirm with counsel], United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to arbitration is the state or federal courts located in that state, and you consent to their jurisdiction. Any dispute must be brought within one (1) year after it arises. You and DistroTeam waive any right to a jury trial and to participate in a class action to the extent permitted by law.

We may modify these Terms from time to time. We will update the "Last updated" date above and, for material changes, provide notice by email or a prominent in-Service notice. Where required, we will ask you to re-accept the updated Terms. Continued use after changes take effect constitutes acceptance.

These Terms, together with the Privacy Policy and Content Disclaimer, are the entire agreement between you and DistroTeam regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
